The Management Board of CCC S.A. (“ Company ”, “ CCC ”) informs that on 7 August 2019 it received a notice from the company HMH Polska Sp. z o.o. (” HMH Polska “) regarding the voluntary delisting of CCC shares from the [NewConnect Stock Exchange] (” NC “).

The delisting request of CCC shares from the NC was based on the decision of the Extraordinary General Meeting (” GM “) of HMH Polska, held on 29 July 2019, according to which HMH Polska had decided it will redeem CCC shares owned by HMH Polska or held by HMH Polska entitled to vote and to request delisting of CCC shares from the NC.

The notice received from HMH Polska includes information concerning the GM’s decision as well as the draft resolution of the Management Board of the NC concerning delisting of CCC shares from the NC.

In the view of the Company, the GM’s decision of HMH Polska is effective from the date of its adoption i.e. 29 July 2019, and the Management Board of NC is obliged to issue the resolution concerning delisting of CCC shares on the basis of the request of HMH Polska. Furthermore the information concerning volutary delisting of CCC shares from the NC must be disclosed simultaneously by the HMH Polska and by the Company.
